Terms of Service

1. Scope

These Terms of Service (ToS) apply to all contracts between Nexus Digital GmbH (hereinafter "Provider") and the Customer regarding the use of the SaaS platform "Nexus Digital". Deviating terms of the Customer are not recognized unless the Provider expressly agrees to them in writing.

2. Service Description

The Provider provides the Customer with a cloud-based SaaS platform for the operational management of construction companies. The platform includes the following modules, the availability of which depends on the selected plan:

  • Project Management
  • HR and Personnel Management
  • Finance and Invoicing
  • Document Management
  • Asset Management
  • Time Tracking and Timesheets

3. Account Terms

Access to the platform is provided through individual user accounts. The Customer is responsible for:

  • Maintaining the confidentiality of all user credentials
  • All activities that occur under the user accounts
  • Promptly notifying the Provider of any suspected unauthorized access
  • Ensuring that only authorized employees have access to the platform

4. Data Processing and Privacy

The Provider processes personal data on behalf of the Customer pursuant to Art. 28 GDPR. A separate Data Processing Agreement (DPA) will be concluded before the start of the contract. Data is stored in the European Union (Frankfurt region, europe-west3).

Customer data is stored in isolation per tenant. Access to other tenants' data is technically prevented. The Provider ensures regular backups and appropriate technical security measures.

5. Availability and Maintenance

The Provider strives to ensure high availability of the platform. Scheduled maintenance will be performed outside of regular business hours (Mon-Fri, 08:00-18:00 CET) whenever possible and communicated to the Customer in advance. An availability guarantee (SLA) can be individually agreed upon within the Enterprise plan.

6. Liability

The Provider is fully liable for damages resulting from injury to life, body, or health, as well as for damages caused intentionally or through gross negligence. Otherwise, liability is limited to the typical, foreseeable damage of the contract.

The Provider is not liable for data loss insofar as the Customer has failed to perform their own data backups. The Provider recommends that the Customer regularly export important data.

7. Fees and Payment

Fees are based on the individually agreed quote. Invoices are issued monthly or annually in advance and are due within 14 days of invoicing without deduction. All prices are exclusive of applicable VAT.

8. Contract Duration and Termination

The contract is concluded for an indefinite period and may be terminated by either party with three months' notice to the end of a month. The right to extraordinary termination for good cause remains unaffected.

After termination, the Provider will make the Customer's data available for export in a common format. After a transition period of 30 days, the data will be irrevocably deleted.

9. Final Provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from this contract is Berlin, provided the Customer is a merchant, a legal entity under public law, or a special fund under public law.

Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
